Intro – There has been much new case law on the scope of liability of directors of UK companies. 


Overview – The panel will discuss the position of executive directors and non executive directors, an outline of the various claims that can be brought against them, and by whom, as well as how directors in the UK should behave, and actions they can take to mitigate against liability and the risk of claims against them.  The session will start with a brief presentation by each of the panel members on the topics, and then the floor will be open for an interactive question and answer session.


Common trends – The duties that directors owe to companies to act in good faith to promote the success of the company for its members, and how it is possible for each director to ensure that he or she is adequately supervising and controlling the business of the company to ensure compliance with that duty.  When is delegation acceptable to achieve that end?  Is there a line in the sand after which delegation is deemed to be abrogation?
